These Terms of Service ("Terms") govern your use of the Talon AI website and services provided by Talon AI LLC ("Company," "we," "our," or "us").

Acceptance of Terms

By accessing our website or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the service.

Services Description

Talon AI provides healthcare data intelligence products and services, including:

Concinna, our healthcare answer engine built on governed public-record data
Compliance and documentation-audit tooling
Data intelligence engagements, including analysis, reporting, and decision support
Related implementation, integration, and ongoing support services

Service Engagement Process

Engagements are scoped individually. Each engagement is governed by a statement of work, services agreement, or order form that defines deliverables, fees, timelines, and any additional terms. Where a separately executed agreement exists between Talon AI LLC and a client, that agreement controls over these Terms to the extent of any conflict.

Payment Terms

Fees and payment schedules are defined in the applicable statement of work or services agreement
Unless otherwise agreed in writing, all payments are due within 30 days of invoice date
Late payments may incur a 1.5% monthly service charge

Client Responsibilities

You agree to:

Provide accurate and complete information about your business processes
Grant necessary access to systems and data required for the project
Respond to information requests in a timely manner
Test and provide feedback on delivered solutions
Maintain appropriate backups of your data

Our Responsibilities

We agree to:

Deliver services with professional skill and care
Maintain confidentiality of your business information
Provide ongoing support for implemented systems as agreed in the applicable engagement
Respond to support requests within 24 hours during business days

Intellectual Property

Client Data and Processes

You retain all rights to your business data, processes, and proprietary information.

Deliverables

Rights in deliverables are defined in the applicable statement of work or services agreement. Unless otherwise agreed, upon final payment you receive the rights specified there for deliverables created specifically for your organization.

General Methodologies and Platform

We retain all rights to Concinna, our data assets and pipelines, and all general methodologies, frameworks, and non-client-specific intellectual property developed in the course of providing services.

Confidentiality

Both parties agree to maintain strict confidentiality regarding:

Business processes and operational data
Financial information
Customer data and lists
Proprietary systems and methods
Any other non-public information shared during the engagement

Data Security

We implement industry-standard security measures:

All data transmission is encrypted
Access is limited to authorized personnel only
Client data is not used to train third-party AI models
Engagements involving protected health information are governed by executed Business Associate Agreements and handled on infrastructure covered by those agreements

Warranties and Disclaimers

Service Warranty

We warrant that services will be performed with professional skill and care in accordance with industry standards.

System Performance

While we strive for optimal performance, we cannot guarantee 100% uptime or error-free operation of automated systems due to factors beyond our control.

Informational Outputs

Analytical outputs are prepared from public-record and client-provided data sources and are provided for informational and decision-support purposes. They do not constitute legal, medical, coding, billing, or investment advice.

Results

Business results depend on many factors. We cannot guarantee specific revenue, cost savings, or operational improvements.

SMS Messaging Program

Talon AI LLC operates an SMS messaging program for prospects who have submitted a phone number through the contact form at runtalon.ai and have actively consented to SMS contact, and for existing business clients who have agreed to operational SMS communication as part of their service engagement.

SMS Program Use Cases

The Talon AI SMS program sends the following types of messages: (a) appointment confirmations and reminders for discovery calls, consultations, or scheduled meetings; (b) follow-up communications related to inquiries the recipient has initiated; (c) account notifications and service-related updates for active clients; and (d) operational messages about deliverables, schedule changes, or onboarding steps. Talon AI does not send unsolicited promotional SMS, political messaging, or third-party marketing through this program.

How to Opt Out

Recipients may opt out of SMS messages from Talon AI LLC at any time by replying STOP to any SMS message received. Opt-out is processed immediately and is permanent unless the recipient subsequently re-opts in through the contact form at runtalon.ai. To request help, recipients may reply HELP to any SMS or contact matt@runtalon.ai. To opt out of all communications including email, contact matt@runtalon.ai directly.

Message and Data Rates

Standard message and data rates may apply to SMS messages sent and received through this program. Message frequency varies and depends on the nature of the recipient's relationship with Talon AI LLC. Recipients are responsible for any charges from their wireless carrier related to receiving or sending SMS messages. Talon AI LLC is not responsible for carrier-imposed costs.

Carrier Liability Disclaimer

Wireless carriers (including but not limited to AT&T, T-Mobile, Verizon, and their respective affiliates) are not liable for delayed or undelivered SMS messages sent through the Talon AI messaging program. Talon AI LLC makes no guarantees regarding message delivery times or successful receipt, as delivery is dependent on third-party carrier networks and recipient device availability. Recipients should not rely on SMS as the sole channel for time-sensitive communications.

Age Restriction

The Talon AI SMS messaging program is intended for recipients who are at least 18 years of age. By submitting a phone number and consenting to receive SMS messages, the recipient represents and warrants that they are 18 years of age or older. Talon AI LLC does not knowingly send SMS messages to individuals under 18.

Limitation of Liability

Our liability is limited to:

The total amount paid for the specific service in question
Direct damages only (no consequential, indirect, or punitive damages)
Claims made within one year of the incident

Termination

Project Termination

Either party may terminate a project with 30 days written notice, unless the applicable statement of work provides otherwise. You will be responsible for payment of work completed to the termination date.

Ongoing Services

Ongoing services may be terminated with 30 days written notice, unless the applicable agreement provides otherwise. Final billing will be prorated to the termination date.

Immediate Termination

We may terminate services immediately for:

Non-payment after 60 days
Breach of confidentiality obligations
Illegal or unethical requests

Dispute Resolution

Any disputes will be resolved through:

Direct negotiation between the parties
Mediation if negotiation fails
Binding arbitration in Shreveport, Louisiana if mediation fails

Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict of law principles.

Modifications

We may update these Terms periodically. Significant changes will be communicated via email. Continued use of our services after changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
